Welcome to Somedays.
These Terms of Service (“Terms”) are a legal agreement between you and Vertical 40, L.L.C., a Utah limited liability company (“Vertical 40,” “Somedays,” “we,” “us,” or “our”). They govern your access to and use of the Somedays mobile app and related features, content and services (together, the “Services”).
Somedays is built to help people stop putting life off. Through the Services, you can save the things you keep saying you'll do someday, set target dates, plan them with action steps, share them with friends, cheer each other on, and keep the memories when you do them.
By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you don't agree, don't use the Services.
You must be at least 18 years old to create an account or use Somedays. By using the Services, you represent that you're at least 18 years old, that you have the legal capacity to enter into these Terms, that you're legally permitted to use the Services, and that the information you give us (including your name and email address) is accurate and truthful. We may suspend, restrict or terminate an account if we reasonably believe the user is under 18 or otherwise ineligible.
You're responsible for your account and for activity through it. Somedays signs you in with a one-time code sent to your email, so keep access to your email account secure. You agree to provide accurate information and to tell us promptly if you believe your account has been accessed without authorization. You may not impersonate another person, create an account using materially false information, sell or transfer your account, or use another person's account.
You can delete your account at any time in the app, at Account > Manage Account > Delete Account. Deletion is immediate and permanent.
Target dates (a month, a year, a specific date, or no date yet) are a personal tool. Somedays provides encouragement, reminders and progress tracking to help you turn your Somedays into reality, but we don't guarantee that any reminder or notification will arrive.
Somedays can suggest action steps and categories for your Somedays using artificial intelligence. Suggestions are generated automatically and may be inaccurate, incomplete or unsuitable for you. Review them before relying on them, and use your own judgment. Each account has a monthly allowance of AI suggestions and a storage allowance for photos, which we may change. Somedays is currently free to use.
Somedays lets you connect with friends, see the Somedays they share, and comment and cheer on them. Every new account is automatically friends with the Somedays founder's account, which you can unfriend at any time.
Somedays doesn't run background checks or screening on any user. You're responsible for your interactions and decisions involving other users, whether through the Services or in person. To the fullest extent the law allows, you release Vertical 40 and its officers, employees, contractors and agents from any claim, liability or demand arising out of a dispute, incident or interaction between users. This release doesn't cover claims arising from Vertical 40's own gross negligence, willful misconduct, or violation of law.
Somedays has zero tolerance for objectionable content and abusive users. You may not use Somedays to:
Photos and text are screened automatically before others can see them. You can report a user, a Someday or a comment from within the app, and you can block any user so that neither of you can see the other. We review reports promptly, normally within 24 hours, and we may remove content and suspend or permanently remove any user who breaks these standards, without notice.
You may add Somedays, descriptions, steps, photos, comments, a profile photo, a bio and other materials (“User Content”). You keep ownership of your User Content, and you're responsible for it. You confirm that you have the right to share it, and that it doesn't break these Terms or the law.
You grant Vertical 40 a non-exclusive, worldwide, royalty-free license to host, store, copy, process, screen and display your User Content as reasonably necessary to operate, secure, improve and provide the Services to you and to the people you choose to share it with. This license ends when you delete the content or your account, except for copies kept as described in our Privacy Policy. We won't use your User Content to promote Somedays outside the Services without asking you first.
We may remove or restrict any User Content that we believe breaks these Terms.
Each Someday is set to “Friends” (the default) or “Only me.” A “Friends” Someday, with its steps, photos, comments and cheers, can be seen by your friends. An “Only me” Someday is visible only to you. Your email address, mobile number and postcode are never shown to other users. Our Privacy Policy explains how we collect and use your information.
By creating an account, you agree to receive the emails needed to run it, such as sign-in codes. We may also send welcome and product emails, which you can unsubscribe from at any time. If you invite someone, you confirm that you know them and that they would expect to hear from you. We may investigate reports about invitations and other communications sent through the Services.
The Somedays app, website, features, inspiration library and other content we provide are owned by or licensed to Vertical 40 and protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, sell or reverse engineer any part of the Services, except as the law allows.
We may suspend or terminate your access if we reasonably believe you've broken these Terms, created a safety risk, engaged in fraud, or harmed Somedays or its users. You may stop using the Services and delete your account at any time. Features may change, be added or removed, be interrupted, or be discontinued.
Somedays is a personal practice. It isn't therapy, medical care, financial advice or professional counseling, and it isn't a substitute for care from a licensed professional. Any plan you make and anything you go and do is your own decision and your own responsibility.
Some of the things people want to do someday carry risk. By choosing to pursue a Someday, you knowingly accept the risks of that activity and of your dealings with other people, and you agree to use reasonable judgment and take appropriate precautions.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT THE LAW ALLOWS. VERTICAL 40 DOESN'T VERIFY AND DOESN'T GUARANTEE THE IDENTITY, BACKGROUND, INTENTIONS, CONDUCT OR SAFETY OF ANY USER OR OTHER THIRD PARTY YOU MAY ENCOUNTER THROUGH THE SERVICES, OR THE ACCURACY OF AI SUGGESTIONS. VERTICAL 40 WON'T BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES. VERTICAL 40'S TOTAL LIABILITY WON'T EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID DIRECTLY TO VERTICAL 40 IN THE 12 MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DON'T ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.
You agree to defend and indemnify Vertical 40 from any claim arising out of your breach of these Terms or your User Content.
If you have a dispute with us, please first email hello@livesomedays.com so we can try to resolve it informally. If we can't resolve it within 60 days, you and Vertical 40 agree that any dispute will be resolved through binding, individual arbitration administered by Judicate West and seated in Summit County, Utah, and you and Vertical 40 each waive the right to a jury trial or to take part in a class action. Either of us may bring an individual claim in small claims court instead. These Terms are governed by the laws of the State of Utah, without regard to its conflict of law rules.
If you downloaded the app from the Apple App Store or Google Play, these Terms are between you and Vertical 40 only, not Apple or Google, and Vertical 40, not Apple or Google, is solely responsible for the app and its content. Your use of the app must also comply with the store's terms of service. If you downloaded the app from the Apple App Store:
We may update these Terms from time to time. If we make material changes, we'll give notice, for example in the app, on our website or by email. Continuing to use the Services after a change takes effect means you accept the updated Terms.
